David Ellison, the chief executive of Paramount Skydance, has publicly defended his company's $110 billion takeover of Warner Bros. Discovery in an op-ed for The New York Times. This is his first public comment on the controversial merger, which has faced significant opposition and is currently embroiled in legal challenges.

Ellison's remarks come at a critical time as the merger remains on hold amid intense scrutiny. He dismissed concerns that the new media giant would dominate the market or compromise journalistic independence. Addressing fears about the future of major news outlets like CBS and CNN, he asserted that both would maintain a non-partisan stance and deliver fair reporting.

To mitigate antitrust concerns, Ellison highlighted that a combined Paramount and Warner Bros. would control less than 20% of U.S. television watch time, which drops to around 13% when factoring in platforms like YouTube. He emphasized that the merged entity would still face fierce competition from tech giants such as Netflix, Amazon, and Apple, whose resources significantly exceed those of Paramount. Ellison also pledged substantial investments in content, promising 30 theatrical films and 170 television series annually, supported by over $30 billion in yearly funding.

Despite his optimistic outlook, the merger is facing a serious legal hurdle. In July, 12 state attorneys general, led by California's Rob Bonta, and the Writers Guild of America filed antitrust lawsuits to block the deal, arguing it would violate the Clayton Act by reducing competition and limiting opportunities for writers. While the U.S. Department of Justice and international regulators have approved the transaction, ongoing domestic legal challenges have stalled its progress, with the trial now set for March 2, 2027.
