The artificial intelligence (AI) cloud company's shares closed down more than 5% on news of two fundraising measures it announced that morning. Asking for more CoreWeave announced an at-the-market (ATM) issue of its publicly traded Class A common stock. The company said it will use its share of the proceeds "to provide ongoing financing flexibility and to support CoreWeave's objective of migrating its enterprise credit profile toward investment grade." The company also announced an issue of convertible senior notes. It will float $3 billion worth of the securities, which mature in 2033 if not converted, in a private offering. The company intends to offer the initial purchasers of the note up to a total of $500 million in additional aggregate principal amount of notes. CoreWeave added that a clutch of its subsidiaries will "fully and unconditionally" guarantee the notes. Those subsidiaries provide similar assurance for previous convertible notes issues, with maturities ranging from 2030 to 2033. Terms such as interest rate and initial conversion rate will be determined when the notes are priced, CoreWeave added. It did not get more specific about timing. The proceeds from the issue will be used to fund capped call transactions (a form of hedging convertible notes) and "general corporate purposes." New burdens These monies will be channeled into a lively business. CoreWeave is a high-profile, active purveyor of advanced cloud services (in fact, on Thursday, it also published a business update stating that it has added over $25 billion in net new customer commitments so far this quarter). However, CoreWeave already has a high level of long-term debt ($43.5 billion as of the end of June). Also, dilution will be a factor even if conversion is modest or delayed, and even if the company is restrained with the ATM program and effective with its hedging. CoreWeave undoubtedly has plenty of growth ahead. The question for investors is whether that justifies these significant new fundraising efforts. Should you buy stock in CoreWeave right now?
