David Craig Brown, chairman and CEO of Victory Capital Holdings, Inc. (NASDAQ:VCTR) , sold 58,056 shares of the company on August 5, according to an SEC Form 4 filing .

Transaction value based on SEC Form 4 weighted average sale price ($99.97); post-transaction value based on the August 5 market close ($99.97).

Victory Capital Holdings represents a significant player in the global asset management industry with $6.7 billion in market capitalization and $1.6 billion in TTM revenue. The company has demonstrated strong financial performance with TTM net income of $460.9 million. Operating from San Antonio, Victory Capital leverages its integrated platform approach to deliver comprehensive asset management solutions across institutional and retail channels, positioning itself competitively within the financial services sector.

The reason this stock vested at all is the story. Brown's shares were tied to performance targets, and they converted only because Victory Capital cleared the first of four share-price hurdles built into its equity plan, so the tax withholding that trimmed his position is a byproduct of the stock doing well, not a hint that it won't. He still holds more than 2.3 million shares directly, plus another 442,586 that vest only if the stock clears further hurdles, so his upside is explicitly bet on the price climbing more. The quarter underneath it was a record. Victory Capital grew second-quarter revenue 24% to $435 million, reached $346 billion in total client assets, and posted record net long-term inflows of $4.2 billion, with adjusted EBITDA margin hitting an all-time high near 56%. Brown called it "a landmark period for Victory Capital." Also important to note that four others had the same hurdle-triggered vesting the same day, which tells you the stock hit a target, and thatโ€™s good news for investors.
