Mercury Systems (MRCY) Booked $660 Million. Why Did its Shares Fall More than 10% After Hours?

Mercury Systems, Inc. (NASDAQ: MRCY ) reported record orders, but the results exposed the gap between defense demand and financial conversion. Shares closed down 7.4% at $105.00 and traded about 11.9% lower at roughly $92.50 in late after-hours trading. Revenue rose 6.1% to $289.8 million and beat consensus estimates, while adjusted earnings of $0.37 per share missed consensus estimates and declined from $0.47 a year earlier. Fiscal Q4 2026 contained 14 weeks, compared with 13 weeks in fiscal Q4 2025, affecting the year-over-year revenue, bookings, adjusted EPS, and adjusted EBITDA comparisons. For Mercury Systems, Inc. Mercury Systems, Inc. (NASDAQ:MRCY) booked $660 million in the fiscal fourth quarter, up 93.1%, producing a 2.28 book-to-bill ratio. Backlog exceeded $1.9 billion, up 38.4%, with approximately $1 billion expected to convert into revenue over the next 12 months.

Mercury Systems, Inc. (NASDAQ:MRCY) said several recent orders consolidated quantities that otherwise would have been booked and recognized during fiscal 2027. The quarter also included bookings related to securing memory for future production. These orders improve visibility, but they will not translate immediately into revenue, profit or cash.

Mercury Systems, Inc. (NASDAQ:MRCY) said bookings were broad-based across common processing architecture, effectors, airborne applications, space and missile defense. Management expects fiscal 2027 revenue to approach $1.1 billion and adjusted EBITDA to approach $200 million, implying nearly double-digit revenue growth and a high-teens margin.

Full-year comparisons reflect 53 weeks in fiscal 2026, compared with 52 weeks in fiscal 2025. Mercury Systems, Inc. (NASDAQ:MRCY) expanded its adjusted EBITDA margin by 217 basis points to 15.3%, while gross margin improved 70 basis points to 28.6%. Management said legacy lower-margin backlog is being converted and newer bookings are closer to the company's target margin profile.

Mercury Systems, Inc. (NASDAQ:MRCY) posted fourth-quarter adjusted EBITDA of $49 million, down from $51 million, while its margin fell to 16.7% from 18.8%. Full-year operating cash flow declined to $102 million from $139 million. Non-GAAP free cash flow, defined as operating cash flow less purchases of property and equipment, fell to $68 million from $119 million as capital expenditures increased to $34 million from $20 million.

Mercury Systems, Inc. (NASDAQ:MRCY) expects fiscal 2027 free cash flow conversion, defined as non-GAAP free cash flow divided by non-GAAP adjusted EBITDA, to approach 35%, below its 50% long-term target. Management also expects a larger-than-normal first-quarter cash outflow as the company funds materials and processes older contracts.
